Parties and Subject Matter

SPAR is a software platform that connects Turkish auto-parts manufacturers to US marketplace operations, including Amazon, Walmart, eBay, and our own marketplace. The Platform is operated by LEONIX TRUCK PARTS LLC.

Eligibility

The Platform is intended for business users only; it is not a consumer service. Any person using the Platform on behalf of a business represents and warrants that they are authorized to represent that business and to bind it to these terms.

Accounts and Security

You are responsible for ensuring that the information you provide when creating and using your account is accurate, current, and complete. You are responsible for keeping your account credentials confidential and for all activity carried out through your account. You must notify us immediately if you suspect unauthorized use.

Role and Limits of the Platform

The Platform is a software service; it does not itself move goods or money. Logistics, customs, payments, and payouts are executed by the operating partner. The Platform emits handoff events for these processes only.

The parties to sales transactions on the marketplaces are determined by the rules of the relevant marketplace and the arrangements made with the operating partner; the Platform provides the software infrastructure.

Intellectual Property

All intellectual property rights in the Platform, including the software, design, and trademarks, belong to LEONIX TRUCK PARTS LLC or its licensors. You retain your rights in the content and data you upload to the Platform; you grant us permission to use that content only to the extent necessary to provide the service.

Acceptable Use

The following conduct is prohibited when using the Platform:

• Providing false or misleading information, or content that infringes the rights of third parties.
• Attempting to compromise the security, integrity, or availability of the Platform.
• Attempting to gain unauthorized access to the Platform or using other people's accounts.
• Using the Platform in violation of applicable law, marketplace rules, or these terms.
• Reverse engineering, copying, or creating derivative works of the Platform without our written permission.

Disclaimers and Limitation of Liability

The Platform is provided "as is"; no warranty is given that it will operate without interruption or error. To the maximum extent permitted by applicable law, we are not liable for indirect damages, loss of profit, loss of data, or loss of reputation. Your rights under mandatory provisions of law remain unaffected.

Governing Law and Jurisdiction

These terms are governed by the laws of the State of Florida, USA, excluding its conflict-of-laws rules. The rights of users in Türkiye arising from mandatory consumer and data-protection legislation remain unaffected.

Amendments

We may update these terms from time to time. Material changes will be announced through the Platform or by notice to your registered email address. Continuing to use the Platform after changes take effect means you accept the updated terms.
